Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AGENTPR™ web platform at useagentpr.com (the "Platform"), the AGENTPR™ Model Context Protocol server and connector (the "MCP" or "Connector"), and the AGENTPR™ framework licence (the "Licence"), together the "Services." The Services are operated by Cihan Media Communications ("AGENTPR," "we," "us," "our").

By creating an account, connecting the Connector, purchasing a Licence, or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you confirm you are authorised to bind that organisation.

1. The Services

AGENTPR™ is an AI-assisted media-intelligence service. It gathers publicly available media and online content, analyses it, and produces structured briefs and reports. The Services include:

  • The Platform — a browser-based application for running intelligence on brands you specify.
  • The Connector (MCP) — a way to run AGENTPR™ tools inside Claude and other compatible AI environments via an authenticated connection.
  • The Licence — a separately purchased, one-off framework package (setup guide, agent configuration library, operations playbook, and licence agreement) that you run within your own AI environment.

We may add, change, or discontinue features. Some features depend on your subscription tier or on third-party services.

2. Definitions

"Content" means the briefs, reports, analysis, and other output the Services generate. "Data Sources" means the third-party media and data services queried to produce Content. "Your Keys" means the third-party API keys you store with us. "Tier" means your subscription level (Pulse, Command, or Sovereign) and its associated limits.

3. Accounts and eligibility

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorised use.

4. Subscriptions, billing, and renewals

a. Tiers and limits. The Platform is offered on tiers with different brand allowances and daily tool-call limits. MCP access requires a Command or Sovereign subscription; Pulse does not include MCP access.

b. Payment. Subscriptions and Licences are billed through our payment provider, Paystack, in the currency shown at checkout. Pricing is as displayed at the time of purchase. NGN pricing applies to Nigerian and African purchases and USD pricing to international purchases, at the exchange rate stated on the site.

c. Renewals. Monthly subscriptions renew until cancelled. You may cancel at any time, effective at the end of the current billing period.

d. Refunds. Except where required by law, fees are non-refundable once a billing period has begun or a Licence package has been delivered.

e. Changes to pricing. We may change pricing on a prospective basis; changes do not affect the period you have already paid for.

5. Your Keys and third-party Data Sources

The Services run on a bring-your-own-keys basis. You are responsible for obtaining Your Keys, for complying with each Data Source's own terms, and for any usage charges those providers levy. We use Your Keys only to run the queries you request (see the Privacy Policy). We are not responsible for the availability, accuracy, rate limits, or policies of any Data Source, and a Data Source may be unavailable or return incomplete results at any time.

6. Acceptable use

You agree not to:

  • use the Services unlawfully, or to infringe anyone's rights;
  • attempt to circumvent tier limits, authentication, or security;
  • resell, sublicense, or provide the Platform or Connector to third parties except as expressly permitted by your Tier or Licence;
  • use the Services to harass, defame, or unlawfully surveil any person;
  • overload, scrape, reverse-engineer, or disrupt the Services or the Data Sources; or
  • use the Content in any way that violates applicable law or these Terms.

You are responsible for how you use the Content, including any decisions, communications, or publications you base on it.

7. Using the Connector

The Connector lets you invoke AGENTPR™ tools from within Claude. When you connect it, you authorise an OAuth connection that allows the AI client to call AGENTPR™ on your behalf. Your use of Claude itself is governed by Anthropic's terms, not ours. You are responsible for the instructions you issue through the Connector and for keeping your connection authorised only to environments you control.

8. Intelligence quality, AI, and professional judgement

AGENTPR™ is a decision-support tool. Its Content is generated using automated and AI-based methods applied to third-party data, and it is intended to give communicators a faster, sharper first read — not to replace professional judgement.

  • Content may be incomplete or contain errors, and accuracy depends on the coverage and reliability of the Data Sources.
  • Sentiment, sarcasm, intent, and similar assessments are interpretive and may be wrong; confidence labels are guidance, not guarantees.
  • The Content is not legal, financial, regulatory, or other professional advice.
  • You should independently verify anything material before acting on it or advising others.

You use the Content at your own discretion and risk.

9. Intellectual property

a. Our IP. AGENTPR™, GASD™, Meaning Intelligence™, The Achi Intellectual Architecture™, and the AGENTPR™ software, methodology, designs, and documentation are owned by Cihan Media Communications and Dr. Celestine Ngozichukwuka Achi and are protected by intellectual-property laws. Except for the rights expressly granted here, we reserve all rights. You may not use our names, marks, or branding without written permission.

b. Your licence to use. Subject to these Terms and your payment, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes (and, where your Tier permits, to deliver Content to your clients).

c. The framework Licence. The separately purchased Licence is governed by the licence agreement supplied with it. It grants the usage rights stated in that agreement and nothing more.

d. Your content and output. As between you and us, you own the brand parameters you submit and the Content produced for you, subject to the rights of Data Sources in their underlying material and to our underlying IP in the Services. You are responsible for ensuring your use of Content respects third-party rights, including source copyright.

10. Third-party services

The Services rely on third parties including Cloudflare, Supabase/Lovable Cloud, Paystack, Anthropic, and the Data Sources. We are not responsible for those services, and your use of them may be subject to their own terms. Interruptions or changes to third-party services may affect the Services.

11. Disclaimers

The Services and Content are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability, to the fullest extent permitted by law.

12. Limitation of liability

To the fullest extent permitted by law, AGENTPR™, Cihan Media Communications, and Dr. Celestine Achi will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising from or related to the Services or Content. Our total aggregate liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the three (3) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the maximum extent permitted.

13. Indemnity

You agree to indemnify and hold harmless AGENTPR™, Cihan Media Communications, and Dr. Celestine Achi from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Services or Content, your breach of these Terms, your misuse of Your Keys or any Data Source, or your violation of any law or third-party right.

14. Suspension and termination

We may suspend or terminate your access if you breach these Terms, misuse the Services, or create risk or legal exposure for us or others, or as needed for maintenance or legal reasons. You may stop using the Services and close your account at any time. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnity, and governing law) will survive.

15. Privacy

Our handling of personal data is described in the AGENTPR™ Privacy Policy at useagentpr.com/privacy, which forms part of these Terms.

16. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, take reasonable steps to notify you. Your continued use of the Services after changes take effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws rules.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services — including their existence, validity, interpretation, performance, breach, or termination — that cannot first be resolved amicably between the parties shall be referred to and finally resolved by arbitration under the Arbitration and Mediation Act 2023. The seat of arbitration shall be Lagos State, Nigeria; the arbitration shall be conducted in the English language before a single arbitrator; and the arbitrator's award shall be final and binding on the parties. Nothing in this clause prevents either party from applying to the courts of Lagos State, Nigeria, for urgent interim or injunctive relief, for the enforcement of an arbitral award, or for matters not capable of being resolved by arbitration. These provisions are subject to any mandatory consumer-protection rights you have under applicable law.

18. General

These Terms, together with the Privacy Policy and any Licence agreement, are the entire agreement between you and us regarding the Services. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
